Platinum Equity Acquires Warren Valve from Allied Group
PR Newswire
LOS ANGELES and HOUSTON, Nov. 2, 2026
Provider of mission-critical flow control solutions positioned to benefit from
long-term investment in energy and industrial infrastructure
Standalone business expected to benefit from Platinum Equity’s
corporate carve-out experience and operational expertise
LOS ANGELES and HOUSTON, Nov. 2, 2026 /PRNewswire/ — Platinum Equity has acquired Warren Valve, a leading provider of mission-critical flow control valves serving energy, industrial, technology and infrastructure end markets across North America, from Allied Group. Terms of the transaction were not disclosed.
Headquartered in Houston, Texas, Warren Valve is a leading supplier of engineered and distributed valve products serving a large, blue-chip customer base. The company has an established reputation for product quality, reliability, technical expertise and industry-leading lead times.
Allied Group is a leading global master distributor and manufacturer of pipe, fittings, flanges and related products. Platinum Equity is a global investment firm with approximately $48 billion of assets under management and has extensive experience investing in industrial products businesses.
“Under Allied’s stewardship Warren has built a terrific business serving customers in critical energy and industrial applications where performance and reliability are vital,” said Platinum Equity Co-President Jacob Kotzubei. “We believe the company is well positioned to benefit from continued investment in energy infrastructure, power generation, LNG and other industrial markets. We also think there is potential upside from growing demand for power infrastructure tied to data center and AI development.”
Allied Group founder and CEO Marc Herzstein and members of the Warren Valve management team invested alongside Platinum Equity and will be minority shareholders in the standalone business.
“Warren Valve has been part of the Allied family for a long time,” said Herzstein. “Selling a business you have helped grow is not a small decision. We made it because Warren is ready to stand on its own, and Platinum has the resources and the experience to take it further as an independent company than it could inside Allied. We will remain shareholders alongside Platinum, and Allied will keep working with Warren every day as a partner and a customer.”
Platinum Equity has more than three decades of experience executing corporate divestitures, supporting management teams and leading complex transformation initiatives, and has acquired businesses from companies like Kohler, Emerson Electric, Caterpillar, Ingersoll Rand and others.
“Warren Valve has leading market positions, strong customer relationships, attractive recurring revenue characteristics and a team that has consistently executed at a high level,” said Platinum Equity Partner Matthew Louie. “We believe the business has a solid foundation and multiple avenues for growth, and we look forward to partnering with management to capitalize on those opportunities.”
Following the transaction, Warren’s existing management team, led by President and CEO Mark Day, will continue leading the business.
“We are excited about our new strategic partnership with Platinum Equity, marking an exciting new chapter for Warren Valve,” said Day. “This partnership is expected to provide meaningful support for our continued growth and strengthen our position as an industry leader. Together, we look forward to accelerating our expansion across North America, investing in innovative products and solutions, pursuing strategic acquisitions, and enhancing the value we provide to our customers, employees, and business partners. I want to thank the Platinum team for their trust and partnership as we continue to take Warren Valve to new heights.”
Fifth Third Bank served as financial advisor to Platinum Equity and Joint Lead Arranger in support of the financing on the Warren Valve acquisition. Gibson, Dunn & Crutcher LLP served as legal advisor and Willkie Farr & Gallagher LLP served as debt financing counsel to Platinum Equity on the transaction.
Jefferies LLC served as exclusive financial advisor and Baker Botts L.L.P. served as legal advisor to Allied Group on the transaction. Shiels PLLC served as legal advisor to Warren Valve Executive Management.
